Principle of Corporate Governance


The goals of the implementation our corporate governance mechanism are to preserve the interest of shareholders andtreat every share holder equally.
The mechanisms we have built are able to grant the shareholder rights to access full information, participate, and make decisions.
In addition to obeying laws, we have built the corporate governance mechanisms based on the following principles:

The Company's President Office is in charge of corporate governance, and the Law Unit ofthe FPG assists us by providing the required information for the board members' operation, holding and recording board meetings and annual shareholder meeting, and handling the registration of the Company and its alteration.

President's Office Human Resource Department Establish ahuman resource system and carryout required planning. Handle employee transfers, performance evaluations, recruitment, and training. Ensure fair management. Communicate with employees. Analyze and respondto employee opinions and questions. Compose corporate social responsibility reports.
Management Analysis Department Organize board meetings and annual general meetings.Plan and implement tax exemptions. Review and compile data. Evaluate performance and analyze costs.
Management Department Oversee production, sales, and operation.
Investor Relations Department Collect industry information. Analyze the market competitiveness of NYPCB. Analyze IPO and investments. Engage with investors and organize institutional investor conferences.
Equipment Department Establish and implement a maintenance system.
Material Procurement and Management Department Plan theusage of raw material. Purchaseraw materials and control inventory. Ensure the usage ofraw materials is reasonable andcost-effective. Manage inventoryand warehouses.
Projects Unit Oversee the construction and expansion of plants. Plan and arrange new production and install new equipment, conducttrials, and manage production.
Production and Sale Unit Lay down expansion plans, arrange massand trial production deliveries,and manage jigs and materials demand schedules.
Law Unit Manage the Intellectual Property Rights and legal affairs of NYPCB. Apply for patents.
EHS Unit Implement and manage measures to prevent pollution. Organize required training on workplace safety,environmental protection, andhygiene.
Accounting Department Establish,plan, supervise, and implementan auditing system. Review the legality and legitimacy of transactions. Handle daily accounting reports, file taxes,and analyze the profit and loss of products.
Information Technology Department Oversee the Management Information system,establish an intranet, andmanage Company websites.Evaluate and develop information systems, manage the intranet,and develop applications.
Research and Development Department Establish and review production regulations,new materials, and technologies.Establish and review new product production processes. Evaluateand execute plans to satisfy customer requirements for processing technologies and tests. Conduct trial productions for new products before entering mass production.
Product Design Department Design,produce, and improve jigs.Integrate and review production technologies. Manage and execute trial production of films and screen plates. Compile newcustomer data.
