Nan Ya PCB is an Enterprise that follows the laws and ethics. In addition to
the Corporation Law, Securities and Exchange Laws, and Business Accounting Law,
the Company has made and implemented ethical policies and built corporate
governance and risk control mechanism to pursue sustainable development in the
Company’s managerial spirits of honest and integrity, equality and
transparency, self-discipline, and hard-working attitude.
The Company’s board members, managers, employees, or
the people who materially have control powers are not allowed to directly or
indirectly provide, promise, ask, or receive illegal benefits. Neither are they allowed committing other behaviors against honest, laws, or obligation. Ethical

Company has formulated strict

forbidding board members and employees
from using the company's unpublished

securities, so as to obtain improper
benefits for themselves or others. The
regulations include but are not limited
to the company's directors not being
able to report 30 days before the
announcement of the annual financial
report and 15 days before the
announcement of the quarterly financial
report. During the closed period, the
company's directors, employees and other
insiders are strictly prohibited from
using the company's property, non-public
information or taking advantage of their
positions to obtain improper benefits.
And require employees not to accept the
entertainment and property gifts invited
by the factory.
4. The
employees at Nan Ya PCB should strictly follow the Conflict of Interest
Avoidance Principle and actively report the concern of conflict of interest. We
also have
formulated Non-competition Clauses to prevent conflict
of interest.
5. We
investigate our clients and suppliers to avoid frauds damaging the Company’s
benefits and expect all stakeholders to understand and respect the
Company’s Ethical Corporate Management Practice.
6. We have
developed a public and equal contracting out procurement mechanism, which is
open tendering and operated on EFPG platform’s contracting out
procurement system.
7. We have
developed appropriate accounting and internal control mechanisms and fully
implemented computerizing; human resource, finance, sales, production,
material, and engineering are the six major managerial
functions which are interconnected by computers and able to audit each other to
carry out the exception
management. The Company also built professional and
independent internal auditing framework. The framework contains three major
aspects. The first one is
executed by the Auditing Sector belongs to the Board. The
second aspect is routine and project-dependence independent auditing
implemented by the FPG’s
General Managing Sector. Because internal audit is every
employee’s responsibility, the last layer is employees’ self-auditing carrying
out the spirit of internal
auditing in every aspect of the Company.
8. The Company has formulated Employees Appealing Principles to
provide the employee with the appealing channel for reporting illegal or
inappropriate
behaviors. Also, the disciplines and appealing protocols for
violating Code of Conduct are specified in Personnel Management Principles and
Work
Management Regulation.
